These terms govern your use of stemi (“the service”), provided at stemi.tech. By creating an account or using the service, you agree to these terms.
The service
stemi separates uploaded audio into stems (vocals, drums, bass, instruments) through a chat-based interface. The service is in open beta. Features may change, break, or be removed without notice. We make no uptime guarantees during beta.
Your account
You must be at least 13 years old to use stemi, and at least 18 (or have a parent or guardian’s permission) to buy a plan or run pack.
You must provide accurate information when creating an account. You are responsible for keeping your credentials safe and for all activity under your account. Notify us immediately at support@stemi.tech if you suspect unauthorized access.
Acceptable use
You agree not to:
- Upload audio you don’t own, license, or have explicit permission to use. You are responsible for clearing rights with the source.
- Use the service to infringe copyright, impersonate any person, or distribute defamatory or unlawful content.
- Reverse engineer, scrape, or attempt to extract underlying models, weights, or proprietary code.
- Abuse the service through automated bulk requests, denial-of- service attacks, or attempts to bypass quota or auth.
- Share access credentials or resell stems generated by the service without our written permission.
We may suspend or terminate accounts that violate these terms.
Ownership
You retain all rights in the audio you upload and in the stems stemi produces from it. You grant us a limited license to process, store, and serve your audio and stems back to you as part of providing the service.
stemi retains all rights in the software, models, brand, and anything we create. Nothing in these terms transfers ownership of the service itself to you.
Billing
Paid plans are billed by Stripe according to the price you agreed to at signup. Subscriptions renew automatically until you cancel. You may cancel any time through the billing portal; cancellation takes effect at the end of the current billing cycle. We do not issue refunds for partial periods unless required by law.
Free runs, saved cards and run packs
New accounts include a limited number of free runs. When you save a payment method during the free period, you authorize us to start the plan you selected, or charge the run pack you selected, automatically once your free runs are used up. We show the price and what it includes before you save the card, and nothing is charged at the time you save it.
Run packs are one-time purchases that add runs to your account. They do not renew. Unused runs have no cash value and are not refundable except where required by law.
Copyright complaints
We respect the rights of artists and rights holders. If you believe audio processed through stemi infringes your copyright, email legal@stemi.tech with: your contact details; a description of the work; information that identifies the material (for example, the account or run involved); a statement that you have a good-faith belief the use is not authorized; and a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act for the owner, with your physical or electronic signature. We will respond to valid notices, may remove the material, and will terminate the accounts of repeat infringers in appropriate circumstances.
Beta disclaimer
The service is provided “as is” during beta, without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or that the stem quality will meet any particular standard. To the maximum extent permitted by law, we disclaim all warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of liability
To the maximum extent permitted by law, stemi and its operators are not liable for any indirect, incidental, special, or consequential damages, lost profits, lost data, or business interruption arising from your use of the service. Our total liability for any claim is limited to the amount you paid us in the twelve months before the claim, or USD $100, whichever is greater.
Termination
You may stop using the service and delete your account at any time. We may suspend or terminate your access if you violate these terms or if we discontinue the service.
Changes
We may update these terms. When we do, we’ll change the “last updated” date at the top of this page. Material changes will be communicated by email. Continued use of the service after changes constitutes acceptance of the updated terms.
Governing law
These terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in Delaware.
